Chandler MHM has a highly experienced Corporate and M&A practice group, recognized for the scope of its legal expertise, and the caliber and industry range of its clients. The group acts for multinationals and large, local corporates on transactions involving Thailand’s and Southeast Asia’s key industry sectors, including energy and natural resources, petrochemicals, automotive, food and beverages, logistics, retail, property and high‐value manufacturing.

The group advises on public and private M&A, bilateral and competitive   bidding share sales and purchases, amalgamation, entire business transfers (EBT), business/asset acquisitions, joint ventures, foreign direct investments, private equity investments, corporate group restructurings and reorganizations. We also assist clients with compliance and regulatory matters in the areas such as antitrust, data protection and anti‐bribery.

The group also handles corporate registration and secretarial work for Thai companies, applications for Board of Investment (“BOI”) promotions and foreign business licenses, registration of branch offices of foreign corporations, representative offices, regional offices and applications for US Treaty protection.

Retail / F&B / Hospitality / Logistics

  • ASAI / Dusit Thani PLC on its investment in a hotel development project in Kyoto, Japan.
  • SENKO Group Holdings, Co., Ltd., a well-known Japanese conglomerate, on the formation of a joint venture with the MK Restaurant Group Pcl. in Thailand, advising on the structuring and documentation of the joint venture, and negotiating with the joint venture partner.
  • Mitsui-SOKO Co., one of Japan’s largest logistics service providers, to acquire Sony Supply Chain Solutions (SSCSJ) in Japan, and other subsidiaries overseas, including Sony Supply Chain Solutions (Thailand) Co., Ltd. (SSCST) in Thailand.

Private Equity

  • Advantage Partners, a private equity firm, in connection with the acquisition finance of a majority stake in ice-cream and bakery manufacturing companies.
  • A private equity investor which is a shareholder of KAMU KAMU Company Limited (KAMU) on the sale of 25% of its shareholding to PTT Oil and Retail Business Public Company Limited.
  • Weil, Gotshal & Manges in advising Clayton, Dubilier & Rice, a leading global investment firm, on the Thai aspects of the proposed acquisition of OCS Group International Limited and its subsidiaries, particularly its significant facility management operations in Thailand through PCS Security and Facility Services Ltd.
  • A major Japanese private equity fund (investing in various businesses including headsets, headphones, and earphone manufacturing) as a Thai counsel, in the acquisition of the shares in a Japanese company operating the business of planning, development, manufacturing, and sales of headsets, headphones, and earphone components.

Power / Electricity Generation

  • Thai Oil Public Company Limited in relation to the disposal of shares held in Global Power Synergy Public Company Limited to PTT Public Company Limited.
  • B. Grimm Power Public Company Ltd., and its subsidiary B. Grimm Power Service (Laem Chabang) Ltd., on the acquisition of 100% of the shares in Glow SPP1 Company Ltd., a subsidiary owned by Glow Energy Plc.

Oil and Gas Upstream / Downstream

  • Kai Heng Long Global Energy Limited, a Hong Kong-based energy company, to acquire 100% shares in LAUGFS Gas (Bangladesh) Ltd, which is one of the largest LPG distributors in Bangladesh.
  • Bangchak Petroleum, a major energy company in Thailand, on a cross-border investment in SPAR International B.V. group, a top tier, international retail/wholesale group with businesses across Europe.
  • Middle Eastern Petroleum Group on issues concerning sale of crude oil from Block 61/48 in the Gulf of Thailand, and on related matters concerning two other O&G companies.

Financial Sectors

  • Thanachart Bank in the sale of shares in the Thanachart Fund Management to Prudential Corporation Holdings/Eastspring.
  • Family shareholders of Erawan, a non-life insurance company, in connection with the sale of 80% of the shares to Dhipaya Group.
  • LINE Corporation through LINE Financial Asia Corporation Limited (Japan’s largest social network), on a joint venture transaction with KASIKORN Bank to become a major lending service provider; offering banking services within LINE, a digital platform.

Manufacturing

  • A leading Japanese multinational on the cross-border acquisition of a Thai chemical manufacturing company. The deal is complex as the acquisition of the Thai company’s shares involves multiple shareholders and negotiation with the leader of the Thai shareholder group. The firm also assisted the Thai company with compliance issues; land lease issues, foreign restriction issues, and land ownership issues.
  • Dextra Asia Co., Ltd. a Luxembourg entity in connection with a sale of a majority stake and Dextra Capital Limited, a Hong Kong company, in connection with the sale of a minority stake to Lakeshore Capital Asia Limited. Dextra manufactures building materials.
  • Neogen Corporation on the acquisition of 100% shares in Thai-Neo Biotech Co., Ltd. and obtaining the privilege under the Thai-US Amity Treaty. Neogen is in the food, beverage, animal protein and agriculture industries.
  • Sumitomo Corporation on the structuring, documentation and negotiation involved in this cross-border joint venture in Thailand, advising on a detailed feasibility study regarding the manufacture and sale of butadiene derivatives in Thailand, and the joint venture agreement between the three parties to the agreement.
