KEY QUALIFICATIONS

Kanchana is an Associate at Chandler MHM (CMHM) in the Corporate/M&A Practice Group. He has broad experience advising clients on corporate and M&A matters. His experience includes conducting due diligence exercises for major merger and acquisition transactions. Prior to joining CMHM, Kanchana was a graduate trainee within the Corporate and Banking practice at a magic circle international law firm in Bangkok.

RELEVANT CLIENT EXPERIENCE

Some representative transactions:

• Represented: CAT Telecom Public Company Limited and TOT Public Company Limited on their amalgamation. This involved advising on relevant telecommunication licenses, frequency licenses and broadcasting licenses and dealing with the Office of the National Broadcasting and Telecommunications Commission (NBTC). The new entity was formed and called the National Telecom Public Company Limited.
• Represented: Developers and providers of online literature business - advised developers and providers of an online literature business comprising written works such as novels, articles, literary texts, fiction and non-fiction in Thailand, in its internal due diligence process for potential share swap transaction and additional investment by investors.
• Represented: A Thai holding company - advised and represented a Thai holding company which focuses on telecommunication industry in its acquisition of newly issued shares in an operator and provider of wide range of innovative products and technological services in the construction management and facility management areas.
• Represented: A venture capital fund - in its acquisition of newly issued shares in an asset analysis platform that analyze stock information.
• Represented: A manufacturer in the cosmetic business - advised on the Thai law aspects of the strategic transformation of a manufacturer in the cosmetic business.
• Represented: A Private Equity Firm - acting for a PE firm in connection with an acquisition of shares in a target company which operates beverages business under both owned-operated and franchise outlets in Thailand and neighbouring countries.
• Represented: Red Bull Group as one of the prospective bidders in an acquisition of a food franchise business in Thailand.
• Represented: a German leading construction chemical manufacturer in its global corporate spin-off, including several complex transactions (e.g., setting up a company, obtaining unusual Foreign Business License and asset transfer in an industrial estate in Thailand)
• Advised: Thai and foreign clients on personal data protection laws in Thailand in various sectors (e.g. pharmaceutical sales, car manufacturing and membership schemes for retail sales)
• Advised: Conducted a personal data protection compliance review for a major BBQ restaurant chain and a German leading chemical manufacturer.
