KEY QUALIFICATIONS

Ratthai is a Counsel at Chandler MHM Limited (CMHM). He specializes in litigation, and has significant experience representing clients on labour and employment law, on corporate and commercial litigation, and on intellectual property litigation and related matters. He has represented clients on civil and criminal cases in court proceedings. He acts for both Thai and international clients, and has broad experience on cross-border matters.  

RELEVANT CLIENT EXPERIENCE

Some Representative Transactions:

• a global synthesis and specialty ingredients manufacturer based in France in relation to an internal legal audit and an anti-corruption matter that involved high-level personnel in Human Resources in its Thai subsidiary entity.
• a Thai corporation in relation to a class labor suit against it claiming compensation. Advised and acted for the Thai corporation in proceedings for appealing against the judgment of the First Instance Court to the Appellate Court for Specialized Cases.
• an employer and authorized director to defend them against a defamation case resulting from termination of employment. The court ruled that the employer and the authorized director were innocent.
• The lead counsel in relation to a business combination between a US special purpose acquisition company and a United Kingdom company (Target) that mainly carries on its operation through a Thai subsidiary. The Target group is a developer and manufacturer of high performance two-wheel electric vehicles with innovative architecture and powered by an advanced electric motor.
• an US-owned natural gas processing and treating solutions provider in relation to an internal legal audit and an anti-corruption matter that involved the directors and high-level management in its Thai subsidiary entity. This matter involved workplace fraud collaboratively committed by former employees who held high-level management positions holding full authority as representatives of the local entity.
• Ansell (Thailand) Limited in court proceedings in negotiation with ex-employees whose employment were terminated.
• Ecolab Inc. in court proceedings in an unfair dismissal case.
• Robert Bosch Automotive Technologies (Thailand) Co., Ltd. to advise the client in a dismissal issue, a labour relations issue and to review work rules and regulations.
• Hitachi Compressor (Thailand) Co., Ltd. to advise on a labour relations committee and to review work rules and regulations.
• Body Fashion (Thailand) Ltd. to advise on labour law on a termination issue, to represent the client in the stage of official labour inspection, to represent the client in the labour committee and the House of Representatives.
• United Offshore Aviation Company Limited to review employment contract and table of benefits and welfare.
• Soneva Kiri to advise on employment issue under the Covid-19 situation and legal requirement for termination of employment.
• a foreign tobacco company on Administrative Court proceedings re: submission of a request to the Court for revocation of a Notification of the Ministry of Public Health in connection with expended pictorial health warnings on cigarette packs and related work. Also represented the client on negotiation with the Thailand Tobacco Monopoly, regarding a joint venture agreement (Expended Tobacco Processing Agreement) and advised on Thai laws and regulations related to tobacco consumption control.
• a foreign banking client on Thai laws regarding cross-border transactions and Thai personal guarantor issues, in connection with project financing.
• Thai and foreign clients in registration of ownership, mortgage, release of mortgage, lease and transfer of rights regarding assets, such as real estate and machinery.
• Thai and foreign clients on potential disputes regarding contractual obligations under sale and purchase agreements, hire agreements, as well as on review and revision of various agreements, such as lease agreements, and sale and purchase agreements.
• Thai and foreign clients, both individuals and business entities, in court proceedings and in discussions with labor officials regarding labor and employment matters, such as, unfair termination, disputes regarding employee and employer privileges under employment agreements, and disciplinary action. Also, preparing legal documents relating to employment matters, for instance, employment agreement, termination letter, warning letter, mutual separation agreement and company’s work rules and regulations.
