RELEVANT CLIENT EXPERIENCE

Some Representative Transactions:

  • Bangkok Airways Public Company Limited in setting up a Real Estate Investment Trust (REIT), namely “BAREIT” and a REIT Manager to manage the REIT in Thailand. BAREIT was the first REIT which invested in airport properties in Thailand and in 2022 was one of the five largest REIT IPOs in Thailand.
  • Hitachi Chemical Storage Battery (Thailand) Public Company Limited (“BAT-3K”), Hitachi Chemical Gateway Battery (Thailand) Company Limited (“HCGB”) - acted as a transaction counsel and advised BAT-3K and HCGB on the amalgamation and regulatory requirements related to the transaction until the completion, including drafting all relevant documents both in Thai and English. The amalgamation between BAT-3K, which was listed on the Stock Exchange of Thailand, and HCGB resulted in the establishment of a new listed company named Thai Energy Storage Technology Public Company Limited (3K-BAT).
  • SCCP REIT Company Limited, a company within SCCP Group in an investment in assets in Japan. The purpose of the transaction and fund raising is to invest in assets in Japan through a holding company in Singapore. Such asset is implemented through long-term lease of an office building located in Tokyo, Japan. The first Thai trust structure to invest in an asset in Japan.
  • Prospect Development Company Limited in setting up the Prospect Logistics and Industrial Leasehold Real Estate Investment Trust (PROSPECT) and the REIT Manager to manage the REIT in Thailand. PROSPECT invests in leasehold rights of approximately 19 years over land and factories and warehouses located in Industrial Zones including the Bangkok Free Trade Zone, located in Samutprakarn, Thailand. (First and only REIT IPO of 2020 in Thailand)
  • a Major Retail Operator in Thailand on the establishment of a Real Estate Investment Trust (REIT) and the REIT Management Company. The client aims to establish its first Real Estate Investment Trust (REIT) in Thailand which includes a mixture of freehold and leasehold investment of a premium mixed-use asset and hotel asset located in Thailand.
  • a Major Japanese Developer investing in various condominium projects in Bangkok. The projects are being developed by a joint venture.
  • Mitsubishi Estate Co., Ltd. in the acquisition of 30% shares in Central Village Company Limited from Central Pattana Plc. (“CPN”). The target is a subsidiary of CPN which operates the first luxury outlet mall in Thailand. The transaction involved an ongoing administrative case between the target and AOT regarding the dispute on Highway 370. The order of the court could affect the operation of the target.
  • Involved in establishment, including capital increase, of several of major Real Estate Investment Trusts (REITs) in Thailand, which include warehouses factories and office buildings. Her experience also includes advising client on mergers and acquisitions and real estate developments both domestic and cross-border clients.
