Sirawan is a Senior Associate at Chandler MHM Limited (CMHM), and has been with the firm since June 2012. She has represented both foreign and Thai clients in preparing applications for investment promotion to the Board of Investment, and applications for foreign operation under Foreign Business Operation Act. She also specializes in areas of Thai corporate law and is experienced in advising on establishing and liquidating private companies; restructuring of companies; partial and complete business transfer transactions; shares acquisitions; registration of representative office, conducting legal due diligence; and preparing for closing transaction.

• a leading international lodging owner-operator as a Thai counsel, in the acquisition of a major serviced residence brand, having more than 80 branded properties globally.
• Neogen Corporation on the acquisition of 100% of the shares in Thai-Neo Biotech Co., Ltd. and obtaining the privilege of a US majority owned company under the Thai-US Amity Treaty.
• Bless Asset Group Co., Ltd., a real estate developer, on its IPO and listing on the Market for Alternative Investment (MAI).
• a major global manufacturer - advising a major global manufacturer of home appliances on its plans to dispose of its investment in Thai subsidiaries. Advised the seller, performed due diligence, transaction structuring, agreement negotiation and closing.
• a US multi-national solar power producer - assisted a US multi-national solar power producer, and sellers with regulatory advice, vendor due diligence, Share Purchase Agreement negotiations, and closing. After the closing, we also assisted the project companies in post-closing actions.
• a manufacturer in the cosmetic business - advised on the Thai law aspects of the strategic transformation of a manufacturer in the cosmetics business.
• a private equity firm - acting for a PE firm, in connection with a competitive bidding process involving the acquisition finance and subscription of up to a 70 percent stake in target companies, which manufacture and distribute ice cream, dairy milk and frozen bakery products, from the existing shareholders.
• Alibaba / Lazada - assisted a company within the group of Alibaba / Lazada (the Purchaser) in connection with an acquisition of an e-commerce business from Synagie Corporation Ltd., a Singapore company. The transaction value was approximately S$61.7 million.
• Thai Oil Public Company Limited on the restructuring of its shareholding in its power business.
• an E-Sports organization - advising on and preparing the applications and incorporation of the company.
• an online food and grocery delivery platform brand - advising on and preparing the applications and correspondence with the client regarding the license for operating the business.
• a major Thai retailer - advising on and preparing the corporate documents to meet company secretarial requirements.
• a German multinational engineering and technology company - advising and analyzing the shareholding structure and timeline for restructuring.
• a full-service innovative solution provider for the global food, personal care, pharmaceutical and industrial markets - advising on and preparing all documents, correspondence with the client and local team, and execution of the closing.
• a Thai public SET-listed petroleum and petrochemical company - advising on and preparing the Foreign Business License application for toll manufacturing services, interview with officials and correspondence with the client.
• a well-known Singaporean brand for bags and accessories - advising on and preparing the applications for commercial registration and direct marketing applications for an e-commerce business, interview with officials and correspondence with the client.
• a global specialist in energy management and automation - advising on and preparing all documents, correspondence with the client and local team regarding dissolution and liquidation.
