RELEVANT CLIENT EXPERIENCE

Some Representative Transactions:

  • a client in its appeal against an assessment of over USD 4.3 million value added tax on income derived from inland transportation service under a logistics service agreement, which also includes warehousing service. This case involves legal interpretations as to whether the inland transportation service deriving VAT-exempted income under the Revenue Code shall be disqualified if the service is provided in conjunction with other service activities deriving vatable income.
  • a US-owned natural gas processing and treating solutions provider (which offers solutions in the oil, gas, water and power markets) in relation to an internal legal audit and an anti-corruption matter that involved the directors and high-level management in its Thai subsidiary entity. We also had a significant role in advising on and planning for the termination of employment contracts following the outcome of the investigations. This matter involved workplace fraud collaboratively committed by former employees who held high-level management positions holding full authority as representatives of the local entity. This resulted in increased complexity in planning and conducting the relevant processes from a Thai legal perspective.
  • a supplier to the oil industry on the intra-group business transfer transaction in respect of the employment laws following a reorganization of its corporate structure. The company had to reorganize its corporate structure which involved business transfer between its two Thai-local entities to be in line with its global business plan.
  • onshore and offshore contractors in an arbitration case initiated by the project owner in relation to the dispute under the construction contracts for construction of a 24 MWe Biomass Fired Power Plant and Power Plant Accessories.
  • a wholly owned subsidiary of a Japanese-based Iron and Steel Mills and Ferroalloy Manufacturer in relation to cases of workplace fraud involving a total amount of approximately USD 2.7 million.
  • a supplier based in Luxembourg in relation to a case of a cross border sales scam causing the client to suffer a loss of approximately USD 1.6 million. This case involved an order for goods which was in fact a deliberate deception conducted with the aim of defrauding our client.
  • a global engineering, procurement, consulting and construction company specializing in infrastructure development in rebutting a USD 1.37 million claim asserted by its former employee (legal counsel) for unfair dismissal. Our defense strategy was to meticulously lay out all facts leading to the dismissal. This resulted in the court’s judgment dismissing the former employee’s claim in its entirety.
  • a leading digital marketing and PR agency company in advising on and planning for employment termination following the outcome of investigation on incidents of sexual harassment committed by a management-level person. This resulted in a mutual separation arrangement barring the employee from making any claim for any termination pay.
