  • Bangkok Airways Public Company Limited in relation to setting up a Real Estate Investment Trust (REIT), namely “BAREIT” and a REIT Manager to manage the REIT in Thailand. BAREIT was the first REIT which invested in airport properties in Thailand and in 2022 was one of the five largest REIT IPOs in Thailand.
  • PT (Sole) Company Limited in relation to the subscription of newly issued shares of T Engineering Corporation Pcl. (currently, PSG Corporation Pcl.) on a private placement basis and the mandatory tender offer of all shares of PSG.
  • Yazaki Corporation, as a major shareholder in D.T.C. Enterprise Public Company Limited (DTC), in relation to DTC’s initial public offering and listing on the Stock Exchange of Thailand.
  • Hitachi Chemical Storage Battery (Thailand) Public Company Limited (BAT-3K) and Hitachi Chemical Gateway Battery (Thailand) Company Limited in relation to the amalgamation and relisting of securities of the new company.
  • Roojai Company Limited in relation to the issuance of secured zero-coupon debentures via private placement.
  • CTJ Holdings2, Ltd. in relation to the tender offer for the securities in Furukawa Metal (Thailand) Public Company Limited (FMT).
  • Luckytex (Thailand) Public Company Limited and Thai Toray Textile Mills Public Company Limited in relation to the amalgamation, waiver of the tender offer and relisting of securities of the new company (Toray Textiles (Thailand) Public Company Limited (TTT)).
  • Muangthai Capital Public Company Limited (MTC) in relation to the issuance and offering for sale of debentures under the Medium-Term Note Programme.
  • CPN Retail Growth Leasehold REIT (CPNREIT) in relation to the issuance and offering for sale of debentures under Baht 16,250,000,000 (USD 497.9 million) Medium Term Note Programme.
  • Domestic and international clients, including corporations, funds, securities business companies, financial institutions, in relation to providing capital markets regulatory advice.

Mergers and Acquisitions:

  • WHA Group in relation to investment in Mungmee Ecommerce Co., Ltd., a B2B E-commerce startup.
  • A major bottler in Thailand, on undertaking its major internal corporate restructuring by amalgamating its manufacturing and trading business units, including other significant corporate actions.
  • Thai Oil Public Company Limited in relation to the sale of its shares in Global Power Synergy Public Company Limited to PTT Public Company Limited (PTT) and PTT’s subsidiaries.
  • Trescal, the global leader in calibration services, in relation to the acquisition of Standard Calibration Technology Institute in Thailand.
  • CAT Public Company Limited and TOT Public Company Limited in relation to their amalgamation into National Telecom Public Company Limited with combined total assets worth USD 10 billion - the first amalgamation of two privatized state-owned enterprises in Thailand.
  • Family shareholders of Erawan Insurance Public Company Limited, a non-life insurance company, in relation to the sale of a substantial stake to Dhipaya Group.
  • Kameda Seika Co., Ltd. in a joint venture with Singha Corporation Company Limited in establishment of a manufacturer of rice crackers and snacks.
  • LINE Corporation (through LINE Financial Asia Corporation Limited) in a joint venture with KasikornBank PLC (thru KVision, its subsidiary) in establishment of KASIKORN LINE Company Limited to become a major lending service provider offering banking services on a digital platform.
  • Frasers Property Industrial (Thailand) Company Limited in a joint venture with Mitsui Fudosan Asia (Thailand) Co., Ltd in establishment of real estate projects comprised of owning, developing and managing of warehouses and logistics facility in Thailand.

  • Real Estate Investment Trust (REIT) in connection with the financing for the investment of assets as follows:
    • CPN Retail Growth Leasehold Real Estate Investment Trust (CPNREIT): Representing Krung Thai Bank Public Company Limited and Bank of Ayudhya Public Company Limited in the financing for the investment and acquisition of assets.
    • Dusit Thani Freehold and Leasehold Real Estate Investment Trust (DREIT): Representing CIMB Thai Bank Public Company Limited in the financing for the investment and acquisition of assets.
    • Hemaraj Leasehold Real Estate Investment Trust (HREIT): Representing CIMB Thai Bank Public Company Limited in the financing for the investment and acquisition of assets.
  • Bangkok Bank Public Company Limited in connection with providing credit facilities relating to the approximately 15MW Hydroelectric Power Station in Lao PDR owned and operated by NamChe 1 Hydropower Company Limited.
