Some Representative Transactions:

• A major Japanese trading house in the potential acquisition of shares in one of the biggest fiber optic and gateway service providers throughout Thailand and neighboring countries. Our work includes conducting legal due diligence, issuing a legal memo on the telecommunication businesses, advice and negotiation of the transaction documents and contracts.
• Bless Asset Group Co., Ltd., a real estate developer, on its IPO and listing on the Market for Alternative Investment (MAI).
• A leading international lodging owner-operator as a Thai counsel, in the acquisition of a major serviced residence brand, having more than 80 branded properties globally. 
• INETREIT in obtaining the rights of superficies and charges over the land identified under the Land Title Deed No. 2877, located at Thap Kwang Sub-District, Kaeng Khoi District, Saraburi Province (the “Land”) which is used for the INET-IDC3 project.
• A Thai holding company - advised and represented a Thai holding company which focuses on telecommunication industry, in its acquisition of newly issued shares in smart learning digital platform for learning management system.
• A major global manufacturer - advising a major global manufacturer of home appliances on its plans to dispose of its investment in Thai subsidiaries, We advised the seller, performing due diligence, transaction structuring, agreement negotiation and closing.
• A US multi-national solar power producer - assisted a US multi-national solar power producer, and sellers with regulatory advice, vendor due diligence, Share Purchase Agreement negotiations, and closing. After the closing, we also assisted the project companies for post-closing actions.
• A multinational manufacturer of packaging systems in relation to the acquisition of the majority of the shares in a target company. Advice included due diligence on the target company, contract negotiations and contract drafting, and closing.
• A manufacturer in the cosmetic business - advised on the Thai law aspects of the strategic transformation of a manufacturer in the cosmetic business.
• The investors - assisted with due diligence of the Thai subsidiary of the target company being invested in. This is in relation to a telehealth business which recently raised finance for the expansion of its operations in Southeast Asia. 
• PepsiCo for training on advertisement and consumer protection law.
• Thai Glico on transactions in connection with applying the foreign business license application.
• BASF on transactions in connection with advising on the plant variety protection law.
• TOT/CAT on transactions in connection with advising on the amalgamation in relation to Thailand Board of Investment (BOI) Certificate.
