KEY QUALIFICATIONS

David is a Partner at Chandler MHM Limited (CMHM) and a member of the firm’s Energy & Infrastructure Practice Group. Prior to joining CMHM, he gained experience as a consultant at a respected international law firm in Bangkok. He has vast experience representing lenders and project sponsors in the oil & gas, mining, renewable energy, and manufacturing sectors. David has also advised on numerous complex commercial transactions such as cross-border joint ventures, M&As, loan portfolio acquisitions, and greenfield infrastructure projects. Having gained professional experience in several Asian jurisdictions, David is experienced at negotiating and structuring transactions to best protect his clients’ interests.

Power Projects

  • A group of syndicated lenders in the financing of a 1.46 GW run-of-the-river hydropower project in Laos (one of the largest hydroelectric power plants which the Thai sponsors have ever invested in Lao PDR)

  • A Thai sponsor in negotiating the terms of engineering, procurement and construction (EPC) contract (FIDIC Silver Book, 2017) and operations and maintenance (O&M) agreement with respect to the development of Phase 1 of a 300 MW wind farm in Vietnam.

  • A foreign sponsor in all aspects of developing two 9.8 MW waste-to-energy facilities in Thailand.

  • A Japanese trading house in all aspects of the establishment of its rooftop solar (C&I) business in Thailand.

  • A Thai sponsor in negotiating the terms of an operations and maintenance (O&M) Agreement for a 16 MW wind farm project in north-eastern Thailand.

  • A foreign project owner in all aspects of its development of a combined 4.4 MW ground mounted and floating solar project in Chonburi, Thailand.

  • A global energy transition investment firm in the Thai aspects of the sale of Nexif Energy Holdings B.V. and NXF Holdings 2 Limited. The target group is a leading developer and investor in energy business in the Asia-Pacific which holds a stake in a gas-fired power plant under development in Rayong, Thailand.

  • A Thai sponsor in negotiating the terms of design-build construction agreement (FIDIC Yellow Book, 1999) with respect to the development of a 50 MW solar farm in Vietnam.

Infrastructure Projects

  • A Chinese state-owned engineering and construction company on its bid submission and negotiations with the State Railway of Thailand of dual-track rail expansion project.
  • A foreign engineering and construction company on all aspects its bid on Laem Chabang Phase 3 Port expansion, one of the flagship infrastructure projects in Thailand’s Eastern Economic Corridor, with an investment value of approximately USD 4.5 billion.
  • A Japanese developer in negotiating terms of project documents and joint venture agreement in connection with the construction of a waste treatment facility in Malaysia.
  • A foreign engineering and construction company in its bid on the M6 & M81 highway projects in Thailand, tendered as a public-private partnership (PPP) by the Department of Highways of Thailand.
  • A Thai developer in preparing and negotiating the terms of the Main Construction Contract (based on FIDIC Red Book, 2017), piling construction contract, and other supply and services agreement in connection with the development of a data centre in Thailand.

Oil & Gas

  • Bangkok Bank Public Company Limited and China Development Bank, Guangdong branch, on the financing of a 343-kilometer fuel oil pipeline covering five provinces from Saraburi Province to Khon Kaen Province and associated storage facilities in Khon Kaen Province. The Asset Country Awards 2020 - Best Deals by country: Thailand

  • Dialog Group Berhad acting for Dialog Group upstream oil & gas company in acquisition of 100% of the shares in a Thai target, which conducts exploration, production, and sale of petroleum from onshore blocks in Thailand.

  • MedcoEnergi in connection with the Thai aspects of its acquisition of Ophir Energy (Closed: March 2019).

  • A Japanese gas utility, in all aspects of its negotiations with PTT PLC on the formation of a joint venture in Thailand to carry out gas distribution.

  • A major oil and gas company on petroleum law, constitution law, administrative law, and perspectives on arbitration for international arbitration dispute involving interpretation of concessionaire’s obligations under concession contract.
